TERMS OF SERVICE

Welcome to RoseForever.com (the "Site"), operated by Rose Forever Inc. ("Rose Forever," "we," "us," or "our"). By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms, you must discontinue use of the Site immediately.

Rose Forever reserves the right to modify this Agreement at any time. Continued use of the Site following any such modification constitutes your acceptance of the revised terms.

1. ELIGIBILITY & USE OF SITE

You represent and warrant that you are at least eighteen (18) years of age, or that you are accessing the Site under the supervision of a parent or legal guardian. By using the Site, you further represent that your use does not violate any applicable law or regulation.

Subject to the terms and conditions of this Agreement, Rose Forever grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for the purpose of personal shopping. This license does not extend to any commercial use of the Site or its content, nor to any use on behalf of a third party, unless expressly authorized by Rose Forever in writing. Any breach of this Agreement shall result in the immediate revocation of this license without prior notice.

You agree not to:

  • Reproduce, distribute, display, sell, lease, transmit, modify, reverse-engineer, disassemble, compile, or create derivative works from any portion of the Site without express written authorization from Rose Forever
  • Use the Site or any of its content for commercial purposes or for the benefit of any third party without prior written consent
  • Upload, post, or transmit any content that: (i) infringes upon the intellectual property rights of any party; (ii) is defamatory, threatening, obscene, indecent, or otherwise unlawful under U.S. or international law; or (iii) contains viruses, malware, Trojan horses, or any other harmful code or properties

Rose Forever reserves the right to refuse service, suspend or terminate accounts, and cancel orders at its sole discretion, including where customer conduct is deemed to violate applicable law or to be harmful to the interests of Rose Forever or its customers.

2. ACCOUNT ACCESS & SECURITY

Where Rose Forever assigns you account credentials, you are solely responsible for maintaining the confidentiality and security of such credentials. You accept full responsibility for all activity occurring under your account, whether or not authorized by you, including all communications, transactions, and financial obligations arising from such access. You agree to notify Rose Forever immediately at help@roseforever.com upon becoming aware of any unauthorized use of your account or any other security breach.

3. ORDERS, CANCELLATIONS & RETURNS

All sales made through the Site are considered final. Rose Forever does not accept returns or exchanges except at its sole discretion on a case-by-case basis. Customers seeking to initiate a return or exchange are directed to contact Rose Forever at help@roseforever.com for review. Rose Forever reserves the right to approve or deny any such request without obligation.

Order Cancellations. Customers may request cancellation of an order by contacting Rose Forever at help@roseforever.com within two (2) hours of order placement. Cancellation requests submitted after two (2) hours from the time of purchase will not be honored. Orders that have been processed, fulfilled, or are in a ready-to-ship or shipped status are ineligible for cancellation regardless of the time elapsed since placement.

4. SHIPPING

Rose Forever ships to destinations worldwide. Applicable shipping fees will be calculated and displayed at checkout. Estimated domestic delivery times are two (2) to five (5) business days from the date of shipment. International shipments are estimated to arrive within five (5) to ten (10) business days, though delivery to certain destinations may require additional time. Shipping is conducted Monday through Friday, excluding weekends and federal holidays.

Rose Forever is unable to ship to P.O. Boxes, whether domestic or international. To ensure accurate tracking and timely delivery, all shipments must be directed to a physical address. For the protection of the cardholder, Rose Forever reserves the right to ship orders to the verified billing address in the event that a differing shipping address cannot be confirmed.

Rose Forever shall not be held liable for shipping delays caused by holidays, natural disasters, carrier delays, or destination country customs clearance procedures. Holidays are not counted as business days and should be factored into delivery time estimates. For shipping inquiries, please contact help@roseforever.com.

5. RISK OF LOSS

Title and risk of loss for all items purchased through the Site pass to the buyer upon Rose Forever's delivery of the items to the carrier. Rose Forever shall bear no liability for loss, damage, or delay occurring after delivery to the carrier.

6. REVIEWS, COMMENTS & USER SUBMISSIONS

Any content you submit to the Site, including without limitation ideas, reviews, comments, questions, suggestions, or other materials (collectively, "Submissions"), shall be treated as non-confidential and non-proprietary. By submitting content, you grant Rose Forever a royalty-free, worldwide, perpetual, irrevocable, and transferable license to use, copy, distribute, display, publish, perform, sell, transmit, adapt, and create derivative works from such Submissions in any form or medium.

All Submissions shall become the sole and exclusive property of Rose Forever and will not be returned. You represent and warrant that you own or otherwise control all rights to your Submissions and that their use by Rose Forever will not infringe upon the rights of any third party. You agree not to submit false information, impersonate any person, or otherwise mislead Rose Forever or other users as to the origin of any Submission. Rose Forever reserves the right, but not the obligation, to remove or edit any Submission at any time for any reason.

7. INTELLECTUAL PROPERTY

All text, graphics, images, button icons, audio clips, software, and other content on the Site (collectively, "Content") is the exclusive property of Rose Forever Inc. or its affiliates and is protected by applicable U.S. and international copyright, trademark, and other intellectual property laws. The collection, arrangement, and assembly of all Content on the Site is the exclusive property of Rose Forever Inc.

ROSE FOREVER and all associated logos, trade names, slogans, and marks are registered trademarks or service marks of Rose Forever Inc., its affiliates, or its licensors. Unauthorized use of any Rose Forever trademark or service mark is strictly prohibited. You may not use Rose Forever's trademarks in connection with any product or service in a manner likely to cause confusion, in any way that disparages or discredits Rose Forever, or in any meta tags without prior written consent.

8. PRIVACY POLICY

Your use of the Site is also governed by Rose Forever's Privacy Policy, which is incorporated herein by reference. Please review the Privacy Policy to understand our data collection, use, and disclosure practices.

9. DISCLAIMER OF WARRANTIES

THE SITE, ALL CONTENT, PRODUCTS, AND SERVICES OFFERED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROSE FOREVER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, DATA ACCURACY, AND SYSTEM INTEGRATION. ROSE FOREVER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROSE FOREVER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF THE SITE. IN NO EVENT SHALL ROSE FOREVER'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO ROSE FOREVER DURING THE THIRTY (30) DAY PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. TYPOGRAPHICAL ERRORS

Rose Forever reserves the right to refuse or cancel any order placed for a product listed at an incorrect price or with incorrect product information, regardless of whether the order has been confirmed or payment processed. In the event that a charge has already been applied to your payment method, Rose Forever will issue a full credit in the amount of such charge.

12. THIRD-PARTY LINKS

The Site may contain links to third-party websites. Rose Forever is not responsible for the content, availability, or privacy practices of any third-party site and does not endorse or make any representations regarding such sites. Your use of third-party sites is at your own risk.

13. COPYRIGHT INFRINGEMENT

Rose Forever respects the intellectual property rights of others. If you believe that content on the Site infringes upon your copyright, please submit a notice to help@roseforever.com with sufficient detail to identify the allegedly infringing material and your claim.

14. TERMINATION

Rose Forever reserves the right, without prior notice, to terminate this Agreement or revoke any or all rights granted hereunder at its sole discretion. Upon termination, you must immediately cease all use of the Site. Termination shall not affect any rights or obligations of either party accrued prior to the date of termination, including any outstanding payment obligations.

15. INTERNATIONAL ACCESS

The Site may be accessed from jurisdictions outside the United States. Rose Forever makes no representation that the Site or its products are appropriate or available for use in all locations. Users accessing the Site from outside the United States are solely responsible for compliance with all applicable local laws and regulations.

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

17. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising out of or relating to your use of the Site or your purchase of products through the Site shall be submitted to binding confidential arbitration, except that Rose Forever may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by law, no arbitration under this Agreement may be joined with any arbitration involving another party, whether through class action proceedings or otherwise.

Any claim or cause of action arising out of or related to your use of the Site or this Agreement must be brought within one (1) year of the date the claim arose, or such claim shall be permanently barred.

18. SEVERABILITY

If any provision of this Agreement is found to be invalid, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

19. REMEDIES

You acknowledge that any actual or threatened breach of this Agreement may cause irreparable harm to Rose Forever for which monetary damages would be an inadequate remedy. Accordingly, Rose Forever shall be entitled to seek specific performance, injunctive relief, or other equitable remedies in addition to any damages recoverable at law, including reasonable attorneys' fees and costs.

No waiver by Rose Forever of any right or remedy shall constitute an obligation to grant any similar or future waiver.
